PIF – Panama Requirements

To incorporate a Foundation two main documents are required: the Foundation Charter and the Foundation Regulations or by-laws.

Foundation Charter
It’s the juridical instrument that governs the Foundation and must be registered at the Panama Public Registry.

It must include the following information:

  • Name of the Foundation in any language. The name shall include the word "Foundation"
  • Initial capital of the Foundation, which cannot be less than an amount equivalent to US$10,000.00.
  • Name and domicile of the members of the Foundation Council.
  • The domicile of the Foundation.
  • The name and domicile of the Resident Agent of the Foundation in the Republic of Panama.
  • The purposes or objects of the Foundation.
  • The duration of the Foundation.
  • Any other lawful clauses which the founder may consider convenient.

Foundation Regulations or By-laws

The Regulations are a private document drafted by the Founder detailing beneficiaries, assets of the Foundation and any instructions as to how they are to be administered and distributed which doesn’t need to be registered in the Panama Public Registry.

In the Regulation you will find any information not required by Law to be included in the Foundation Charter and which the Founder would rather keep confidential such as names of the beneficiaries’ name and the Foundations Company’s assets.
